Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of Loop Assistant ("Service"), operated by WEB CANARIES LLC ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use the Service.

2. Description of Service

Loop Assistant is a WhatsApp-based assistant that helps you track completed work, manage invoicing, and follow up on payments. The Service includes:

  • Job tracking and management via WhatsApp messages
  • Automated invoice reminders
  • Payment follow-up notifications
  • Weekly summaries of jobs and payments
  • Subscription-based access to premium features

3. User Accounts and Registration

To use Loop Assistant, you must:

  • Have a valid WhatsApp account
  • Provide accurate and complete information
  • Maintain the security of your account
  • Be at least 13 years of age
  • Comply with WhatsApp's Terms of Service

You are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.

4. Subscription Plans and Billing

4.1 Free Tier

The Free tier includes:

  • 10 total jobs
  • 20 messages per day
  • Invoice reminders
  • Payment follow-ups
  • Weekly summaries

4.2 Pro Tier

The Pro tier includes all Free tier features plus:

  • Unlimited jobs
  • 50 messages per day
  • Priority support

Pro tier pricing:

  • Monthly: $29.99 per month, billed monthly
  • Annual: $19.99 per month, billed annually ($239.88 per year)

4.3 Billing and Payment

Payments are processed securely through Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis according to your selected billing cycle (monthly or annual).

Auto-Renewal: Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You can cancel your subscription at any time through your account settings or by contacting us.

4.4 Refund Policy

We offer a 30-day money-back guarantee for new Pro tier subscriptions. If you are not satisfied with the Service within the first 30 days of your subscription, contact us at contact@webcanaries.com for a full refund. Refunds are not available for:

  • Subscriptions that have been active for more than 30 days
  • Renewals of existing subscriptions
  • Free tier accounts

4.5 Price Changes

We reserve the right to modify subscription prices at any time. Price changes will not affect your current billing period but will apply to subsequent renewals. We will notify you of any price changes at least 30 days in advance.

5. User Responsibilities

You agree to:

  • Provide accurate and truthful information
  • Use the Service only for lawful purposes
  • Comply with all applicable laws and regulations
  • Respect the rights of others
  • Not attempt to circumvent Service limitations or restrictions
  • Not use the Service to send spam, harassment, or abusive content
  • Not interfere with or disrupt the Service or servers
  • Comply with WhatsApp's Terms of Service and Community Guidelines

6. Intellectual Property

The Service and its original content, features, and functionality are owned by WEB CANARIES LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Service without our prior written consent.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WEB CANARIES LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8. Termination

8.1 Termination by You

You may stop using the Service at any time by replying "STOP" to any WhatsApp message or by contacting us at contact@webcanaries.com. If you have a paid subscription, cancellation will take effect at the end of your current billing period. You will not receive a refund for any unused portion of your subscription.

8.2 Termination by Us

We may terminate or suspend your access to the Service immediately, without prior notice, if you:

  • Violate these Terms
  • Engage in fraudulent, abusive, or illegal activity
  • Fail to pay subscription fees
  • Violate WhatsApp's Terms of Service

8.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and data in accordance with our Privacy Policy. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

9. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which WEB CANARIES LLC is incorporated, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except where prohibited by law. You waive any right to a jury trial or to participate in a class action lawsuit.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
